Anthropic Files Confidentially for IPO, Beating OpenAI to SEC Queue

Anthropic has started the process for a US IPO, moving ahead of OpenAI after securing a higher valuation. Both companies are racing to go public this year, aiming to set financial standards and secure capital.
Anthropic has officially fired the first shot in the artificial intelligence IPO race. The Claude developer confidentially submitted a draft registration statement to the US Securities and Exchange Commission on June 1, leapfrogging its chief rival OpenAI in the scramble for public capital.

The move comes on the heels of a massive $6.5 billion funding round last month that pegged Anthropic's valuation at $96.5 billion. That figure comfortably eclipses OpenAI's last reported valuation of $85.2 billion from March. While Sam Altman's OpenAI is reportedly drafting its own prospectus, Anthropic has secured the first-mover advantage in the regulatory queue. Both companies are aiming to go public before the end of the year.

For crypto and tech investors tracking the broader venture capital liquidity cycle, this race is about survival as much as prestige. AI development is an incredibly capital-intensive game. High-performance compute clusters, chip procurement, and talent acquisition eat through cash at an unprecedented rate. D.A. Davidson analyst Gil Luria pointed out to Reuters that both firms are essentially racing to go public before their current capital reserves run dry.

There is also a strategic regulatory play here. By reaching the public markets first, Anthropic gets to define how AI business models are evaluated by Wall Street. The company can effectively set the financial reporting standards for cutting-edge AI models, forcing OpenAI and future competitors to play by its rules when they eventually list.

The broader tech IPO pipeline is suddenly crowding. Chipmaker Cerebras is already on the path to a listing, and Elon Musk's SpaceX is reportedly preparing its own blockbuster offering. While Anthropic's SEC filing gives it the option to proceed, the final timing, share count, and pricing remain highly dependent on macroeconomic conditions and market liquidity. Traders should watch for the public release of Anthropic's S-1 filing in the coming months for the first real look at the company's cash burn and revenue metrics.
